Tripartite Business Development Agreement
Between:
Gazomac: The licensed partner and official representative in the Congo region.
FBB: The software development and project management partner.
BunkerOne: The bunkering partner providing high-quality marine fuels and solutions.
Purpose of the Agreement
This agreement defines the collaborative framework between Gazomac, FBB, and BunkerOne to achieve the following:
- Leverage Gazomac’s local license and market expertise to secure and manage opportunities in Congo.
- Utilize FBB’s software development and project management capabilities to ensure efficient operations and digital transformation.
- Rely on BunkerOne’s bunkering services to deliver high-quality marine fuels and innovative energy solutions.
Roles and Responsibilities
Gazomac
- Act as the licensed representative for all business activities in the Congo region.
- Facilitate local government and client relationships, ensuring compliance with national regulations.
- Provide on-ground logistical and operational support for joint projects.
FBB
- Develop and deploy software solutions to support digital transformation in the energy sector.
- Manage project timelines, resource allocation, and delivery milestones.
- Provide technical support and ensure the scalability of digital systems, including tax monitoring tools and virtual pipeline solutions.
BunkerOne
- Supply high-quality marine fuels and lubricants to clients, including Perenco and government projects.
- Offer innovative bunkering solutions, including virtual pipeline and decarbonization services.
- Ensure consistent product quality, timely delivery, and operational excellence in all bunkering activities.
Collaboration Framework
To achieve mutual objectives, the parties agree to the following principles:
- Transparency: Share relevant information, updates, and challenges openly between all parties.
- Accountability: Each partner will be responsible for its assigned roles and deliverables as defined in this agreement.
- Innovation: Jointly explore new technologies and solutions to address the needs of clients and the government.
- Revenue Sharing: Establish a fair revenue-sharing model based on contributions to each project.
Key Objectives
The partnership will focus on achieving the following key objectives:
- Market Expansion: Secure new business opportunities with private clients such as Perenco and public entities like the Government of Congo.
- Modernization: Deploy cutting-edge digital solutions, including tax monitoring systems and virtual pipeline facilities, to enhance operational efficiency.
- Decarbonization: Support Congo’s sustainability goals by offering carbon capture, storage, and advanced energy solutions.
- Revenue Growth: Drive increased revenues for all parties through strategic collaborations and improved service delivery.
Governance and Decision-Making
The partners agree to establish a governance framework to ensure effective decision-making and conflict resolution. This includes:
- Forming a joint steering committee with representatives from Gazomac, FBB, and BunkerOne.
- Scheduling regular monthly meetings to review progress, address challenges, and align on strategic priorities.
- Maintaining a unified communication channel for seamless coordination between the partners.
Term and Renewal
This agreement is valid for an initial period of 3 years, commencing on the date of signing. The agreement may be renewed upon mutual agreement by all parties, subject to a review of performance and achievements.
Dispute Resolution
Any disputes arising from this agreement shall be resolved amicably through discussions. If unresolved, the matter will be referred to arbitration in accordance with the laws of Congo. The decision of the arbitrator shall be final and binding on all parties.
